1. Introduction

These terms and conditions (“Terms”) apply to the use of the Dukago website and mobile application (the “Platform”). By using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

2. Use of the Platform

The Platform is intended for use by individuals who are 18 years of age or older. By using the Platform, you represent and warrant that you are 18 years of age or older.

3. Product Descriptions

Dukago attempts to be as accurate as possible in the product descriptions, pricing and other information on our Platform. However, Dukago does not warrant that product descriptions or other content of the Platform is accurate, complete, reliable, current or error-free. If a product offered by Dukago itself is not as described, your sole remedy is to return it in unused condition.

4. Pricing

Prices for products on our Platform are subject to change without notice. We reserve the right at any time to modify or discontinue the service (or any part or content thereof) without notice at any time.

5. Order Acceptance and Cancellation

Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Dukago reserves the right at any time after receipt of your order to accept or decline your order for any reason.

6. Payment

You agree to pay the price applicable for the products or services you purchase, as well as any applicable taxes. You shall be solely responsible for all charges, fees, duties, taxes, and assessments arising out of your use of the Platform.

7. Delivery

We will arrange for shipment of the products to you. Shipping and handling charges will be added to the price of the products. The risk of loss and title for all products ordered by you shall pass to you upon our delivery to the carrier.

8. Returns and Refunds

You may return most new, unopened items within 7 days of delivery for a full refund. We’ll also pay the return shipping costs if the return is a result of our error (you received an incorrect or defective item, etc.). You should expect to receive your refund within four weeks of giving your package to the return shipper, however, in many cases you will receive a refund more quickly.

9. Intellectual Property Rights

The Platform and all content included on it, such as text, graphics, logos, images, and software, are the property of Dukago or its content suppliers and are protected by international copyright and trademark laws.

10. Changes to Terms

Dukago reserves the right to make changes to these Terms at any time. Your continued use of the Platform following the posting of changes to these Terms will mean you accept those changes.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Dukago is headquartered, without giving effect to any principles of conflicts of law.

12. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis. Dukago makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or products included on the Platform. Dukago does not warrant that the Platform, its servers, or email sent from Dukago are free of viruses or other harmful components. Dukago will not be liable for any damages of any kind arising from the use of the Platform, including, but not limited to, direct, indirect, incidental, punitive, and consequential damages.

13. Limitation of Liability

Dukago will not be liable to you for any damages resulting from your use of the Platform or from any information, content, materials, products (including software) or other services included on or otherwise made available to you through the Platform, including, but not limited to, direct, indirect, incidental, punitive, and consequential damages, unless otherwise specified in writing.

14. Indemnification

You agree to defend, indemnify, and hold Dukago, its officers, directors, employees, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these Terms.

These terms and conditions constitute the entire agreement between you and Dukago with respect to the use of the Platform.

15. Dispute Resolution

In the event of any dispute arising out of or in connection with this agreement, the parties will use their best efforts to settle the dispute amicably. If the dispute cannot be settled amicably within a period of 30 days, the dispute shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said rules.

16. Compliance with Laws

You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our service and your purchase of products or services through the Platform.

17. Severability

If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

18. Entire Agreement

These terms and conditions constitute the entire agreement between you and Dukago with respect to the use of the Platform.

19. User Generated Content

Dukago may permit users to post reviews, comments, photos, and other content (“User Generated Content”) on the Platform. By posting User Generated Content, you grant Dukago a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Generated Content throughout the world in any media. You represent and warrant that: (i) you own or otherwise control all of the rights to the User Generated Content that you post; (ii) the User Generated Content is accurate; (iii) use of the User Generated Content you supply does not violate these Terms and will not cause injury to any person or entity; and (iv) you will indemnify Dukago for all claims resulting from User Generated Content you supply. Dukago has the right but not the obligation to monitor and edit or remove any User Generated Content. Dukago takes no responsibility and assumes no liability for any User Generated Content posted by you or any third party.

20. Warranty Disclaimer

Dukago makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or products included on the Platform. You expressly agree that your use of the Platform is at your own risk. Dukago does not warrant that the Platform, its servers, or emails sent from Dukago are free of viruses or other harmful components. Dukago will not be liable for any damages of any kind arising from the use of the Platform, including, but not limited to, direct, indirect, incidental, punitive, and consequential damages.
